Upgrading from 3.1.11 to 3.2.1 [SOLVED]

I followed the upgrade doc and still I'm not able to log into the system. I get Session invalid. Please log in again. Does anyone have any ideas?

got any errors on upgrade? What database?

no errors on DB
running MYSQL 5 on linux
when pointing to new DB works but when pointing to the old DB cant log in. I have followed the upgrade doc and Im banging my head

....

have a look in Apache error log. I assume that one of the scripts was not run without errors (or missed)
